Terms of Service

1. Acceptance of these Terms

These Terms of Service ("Terms") govern your access to and use of Dayanica AI, including our website, dashboard, and any related services (together, the "Service"), operated by Dayanica Marketing Management L.L.C, a limited liability company registered in Dubai, United Arab Emirates ("Dayanica," "we," "us," or "our" — see Section 11 for our full company details). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you are creating an organization account on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company as well as yourself.

2. What the Service does

Dayanica lets you generate images, video, and other media from text prompts and reference inputs by submitting requests to third-party AI models (currently provided primarily through Higgsfield, and potentially other providers we integrate directly in the future). We are not the developer of these underlying models; we provide an interface, credit/billing system, and account layer on top of them.

3. Accounts

You may create a personal account or an organization account. Organization accounts share a single wallet across their members; the organization owner is responsible for managing who has access and how shared credits are spent. You're responsible for keeping your account credentials secure and for all activity under your account. You can sign in with an email and password, or with a Google account — if you use Google sign-in, we rely on Google to verify your identity and email address.

4. Credits and payment

Generations are paid for using credits you purchase in advance through our payment processor, Stripe. We do not store your card details ourselves. Displayed prices reflect the underlying model provider's cost plus our markup, and may change as those costs or our pricing policy change; where UAE VAT applies, it is shown separately at checkout (our VAT registration / TRN is 100620000800003). Except where a refund is required under UAE Federal Law No. 15 of 2020 on Consumer Protection or its Executive Regulations, credits are non-refundable once purchased, and a generation's cost is charged once the request is submitted, regardless of whether you are satisfied with the result — though if a request fails on our end or the model provider's end before producing output, the reserved credits are automatically returned to your balance.

5. Acceptable use

You agree not to use the Service to generate, upload, or distribute content that:

• Is illegal, or depicts child sexual abuse material in any form;
• Infringes another person's intellectual property, publicity, or privacy rights;
• Depicts a real, identifiable person in a sexual, defamatory, or otherwise harmful way without their consent;
• Is intended to harass, threaten, or incite violence against any individual or group;
• Impersonates a real person or organization in a misleading way;
• Violates UAE public morality standards or the acceptable-use policies of the underlying model providers we route your request to.

We and our model providers may automatically flag or reject content that appears to violate these rules (for example, NSFW detection), and we reserve the right to suspend or terminate accounts that repeatedly violate this policy.

6. Your content and generated output

You retain ownership of the prompts and reference media you submit, and of the media the Service generates for you, subject to (a) the rights of any third party depicted in your inputs, and (b) the terms of the underlying model provider, which may itself claim only a limited license or may impose its own usage restrictions on outputs. We do not claim ownership of your generated content. You grant us a limited license to store and process your content solely to operate the Service (e.g., to display it back to you in your generation history).

7. Community Library

If you submit a prompt to the Community Library, it is shown publicly on the Service together with your display name, and remains subject to the Acceptable Use rules in Section 5 above. We may remove a submission or your ability to post, at our discretion, for violating those rules.

8. Third-party AI providers

Because Dayanica routes requests to third-party AI models, we cannot guarantee the accuracy, quality, availability, or content of what those models return. Outputs may be delayed, rejected, or altered by the underlying provider without our involvement. We are not responsible for the underlying model provider's uptime or decisions. 9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, misuse the Service, or if required to do so by a model provider or by law. Credits are forfeited upon termination for cause.

10. Disclaimers and limitation of liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Dayanica is not liable for indirect, incidental, or consequential damages arising from your use of the Service, including damages resulting from generated content or the unavailability of a third-party model provider. Nothing in this section limits any right or remedy that cannot be excluded under UAE Federal Law No. 15 of 2020 on Consumer Protection or other mandatory UAE law.

11. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll take reasonable steps to notify you, such as posting a notice on the Service or updating the "Last updated" date above.

13. Governing law

These Terms are governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates. Any dispute arising from or relating to these Terms or the Service is subject to the exclusive jurisdiction of the courts of Dubai.

14. Language

These Terms are available in both English and Arabic. Where required by applicable UAE law for a matter involving a consumer in the UAE, the Arabic version prevails in the event of a conflict between the two.
